Terms of Service

These Terms of Service ("Terms") govern your use of the website https://waterford-ai.comand the services provided by Waterford AI Digital Solutions ("Company", "we", "us", or "our"). By using our website or engaging our services, you agree to these Terms.
1. Services
We provide digital services including website development, custom software development, AI automation, data analytics, SEO, hosting, and related digital services. Specific deliverables, timelines, and pricing are agreed in individual project proposals and contracts.
2. Payment Terms
Unless otherwise agreed in writing, our standard payment structure is 40% on project commencement, 40% on design/development approval, and 20% on project completion. All invoices are payable within 14 days of issue. Late payments attract interest at the EU Late Payment Directive rate. Prices are in EUR and include VAT where applicable.
3. Intellectual Property
Upon receipt of full payment, all intellectual property rights in custom deliverables (code, designs, content) created for you transfer to you. We retain the right to display the work in our portfolio unless you request otherwise in writing. We retain ownership of any proprietary tools, frameworks, or libraries we developed prior to your project.
4. Client Responsibilities
You agree to provide timely feedback, approvals, and content required for project completion. Delays caused by late client feedback may extend project timelines and could incur additional costs. You warrant that any materials you provide do not infringe third-party intellectual property rights.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. We will not disclose your business information to third parties without your consent, except as required by law or as necessary to deliver the services (e.g., to subcontractors under NDA).
6. Warranty & Support
All projects include a 30-day warranty period post-launch during which we will fix bugs at no additional cost. This warranty does not cover new features, changes in requirements, or issues caused by third-party software or client modifications. After the warranty period, ongoing support is available under a separate maintenance agreement.
7. Limitation of Liability
To the maximum extent permitted by Irish law, our total liability to you shall not exceed the total fees paid by you in the three months preceding the claim. We are not liable for indirect, consequential, incidental, or punitive damages, including loss of profits or data.
8. Hosting & Uptime
Where we provide hosting services, we target 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by third-party infrastructure failures (AWS, Vercel, etc.).
9. Governing Law
These Terms are governed by the laws of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the Irish courts. We will always attempt to resolve disputes amicably before resorting to litigation.
10. Changes to Terms
We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms. Material changes will be communicated by email to active clients.
